1. Acceptance of Terms

Welcome to Intellia, an AI-powered educational technology product (the "Service") owned and operated by [Your Company Name] ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Service, including the Intellia web application, mobile apps, and any related software, content, tools, features, and functionalities.

If you are using the Service on behalf of a school, district, or other entity ("Client"), you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Eligibility and User Types

The Service is intended for use by educational institutions (Client)teachers/administrators (Educator Users), and students/parents (Student Users & Parent Users).

  • Age Restriction: Student Users must be authorized by a Client. If a Student User is under the age of 18, their use must be governed by the Client's agreement with the Company, ensuring compliance with child privacy laws.

  • Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3. Subscription, Payment, and Termination
3.1. Subscription and Fees

Access to the Service is provided on a subscription basis to the Client. The Client agrees to pay all fees associated with their subscription plan as described on the Service's pricing page or in a separate written agreement.

3.2. Termination by Client
The Client may terminate their subscription according to the terms of their written agreement with the Company.
3.3. Termination by Company

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

4. Intellectual Property and Content Rights
4.1. Company Intellectual Property
All rights, title, and interest in and to the Service, including all AI models, software, algorithms, code, design, features, and all materials generated by the AI (excluding User-Generated Content, defined below), are and will remain the exclusive property of the Company and its licensors.
4.2. User-Generated Content (UGC)

"User-Generated Content" refers to all materials uploaded, posted, or otherwise provided by users, including syllabi, textbook indices, handwritten answers, test answers, lesson plans, and feedback.

  • Ownership of UGC: As between the Company and the user, you retain ownership of any intellectual property rights in the UGC you submit.

  • License to Company: By submitting UGC, you grant the Company a non-exclusive, royalty-free, worldwide, transferable license to use, reproduce, modify, adapt, publish, distribute, and display the UGC solely for the purposes of providing, maintaining, analyzing, and improving the Service (including training and refining the underlying AI models). This license survives termination only to the extent necessary for the Company to comply with legal requirements or as detailed in the Privacy Policy.

4.3. Educational Content and Output
The lesson plans, study materials, quizzes, and evaluations generated by Intellia ("AI Output") are provided to the Client under a non-exclusive license for educational, non-commercial use within the Client's institution. You may not resell, redistribute, or use the AI Output for any purpose other than instruction and learning within the scope of these Terms.

5. Use of AI and Limitations
5.1. AI-Generated Content

Intellia utilizes advanced AI models. While we strive for accuracy, the AI Output may occasionally contain errors, inaccuracies, or biased information. You acknowledge and agree that:

  • The Company does not warrant the accuracy, completeness, or suitability of the AI Output.

  • Educator Users must review all AI Output (e.g., lesson plans, generated questions, and especially AI-generated scores) for accuracy and appropriateness before using it in the classroom or issuing final grades. The teacher makes the final call.

  • The Service is a tool to assist educators and students, not a replacement for professional judgment.

5.2. AI Model Improvement

You agree that the UGC and anonymous performance data may be used to train and improve the underlying AI modelsto enhance the overall Service functionality, provided such use is consistent with our Privacy Policy and all applicable student privacy laws.

6. Privacy and Data Security

Your privacy is paramount. Our collection and use of personal data, including student records, are governed by our separate [Link to Privacy Policy]. By using the Service, you acknowledge and agree to the practices described in that policy. The Client is responsible for obtaining any necessary parental or guardian consents required by applicable law (e.g., FERPA, GDPR) before student data is uploaded to the Service.

7. Prohibited Conduct

You agree not to use the Service to:

  1. Violate any local, state, national, or international law.

  2. Transmit any unlawful, abusive, harassing, defamatory, or objectionable content.

  3. Upload or distribute viruses, malware, or other malicious code.

  4. Attempt to reverse engineer, decompile, or otherwise discover the source code of the Service or the underlying AI models.

  5. Use the Service for any commercial purpose not explicitly authorized herein.

  6. Collect or store personal data about other users without their express consent.

  7. Forge headers or otherwise manipulate identifiers to disguise the origin of any content transmitted through the Service.

8. Limitation of Liability and Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO event shall the company, its affiliates, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; (c) any content obtained from the service, including AI output; or (d) unauthorized access, use or alteration of your transmissions or content.
